LAWYER POSITION SPECIFICATION

The Legal Function

Avison Young’s legal function currently consists of five lawyers, a corporate secretary for Avison Young’s United Kingdom entities, an equity administrator and a paralegal. One of the lawyers and the corporate secretary are located in England.

Avison Young is seeking to expand its internal legal function by the addition of a second lawyer in England to support the company’s growing operations.

The Position

Avison Young is seeking an English or Scottish qualified solicitor with experience representing and advising clients with respect to commercial transactional matters and a working familiarity with business organizations law. The solicitor’s primary responsibility will be to work with and advise Avison Young’s executives, managers of local offices and staff in the United Kingdom in connection with commercial transactions and business operations. In addition, the solicitor may be called on to provide advice and assistance with respect to certain business organizations legal matters.

Among other things, the successful candidate will be expected to:

  • Draft, negotiate,  review  and  advise  on,  without  limitation,  the  following  types  of contracts and agreements:
  • professional services  contracts  pertaining  to  property  consultancy  and  related reliance letters
  • property management and treasury management contracts and related duty of care agreements
  • corporate solutions contracts for multi-disciplinary services
  • central or local government framework agreements
  • panel agreements
  • amendments to Avison Young standard form agreements
  • non-disclosure agreements
  • Provide legal support to bid teams coordinating large scale bids, such as:
  • drafting clarification questions
  • reviewing invitation to tender documents
  • attending meetings with the bid team to discuss contract/commercial terms
  • drafting legal sections for bid submissions
  • Provide legal support for the resolution of fee disputes
  • Provide advice and assistance with respect to business organizations legal matters
  • preparing shareholder, member and board meeting minutes and resolutions
  • assisting with legal entity maintenance

In addition, it is anticipated that the solicitor will provide other legal services as assigned by the Chief Legal Officer taking into account the successful candidate’s areas of experience.

The Candidate

Candidates should be qualified as a solicitor in England and Wales or Scotland and have:

  • at least  one  year  of  post  qualification  experience  [(although  Newly  Qualified candidates will be considered if their experience is sufficiently strong)]
  • experience handling and advising on commercial contractual matters
  • experience with public and corporate procurement and bidding processes
  • basic working knowledge of business organizations law
  • basic knowledge of TUPE
  • a demonstrated history of career accomplishments and recognized leadership
  • sound legal and business judgment
  • strong interpersonal and relationship building skills and ability to work collaboratively with the other lawyers in Avison Young’s legal function and individuals at all levels within the company and individuals outside of the company (including clients and business partners)
  • an ability to communicate (both verbally and in writing) clearly, concisely and timely using plain language
  • strong negotiation and drafting skills
  • strong attention to detail
  • an ability to work independently and simultaneously manage multiple complex matters in a fast paced, high-energy environment while meeting deadlines
  • experience managing outside counsel (a plus, but not a requirement)
  • experience handling or managing litigation matters (a plus, but not a requirement)
  • in-house experience, either as part of training contract (e.g. sabbatical) or post- qualification in-house position (a plus, but not a requirement)
  • relevant industry  experience  and/or  experience  as  counsel  to  a  professional  services business (a plus, but not a requirement)
  • legal entity  maintenance  and/or  corporate  secretarial  experience  (a  plus,  but  not  a requirement)
  • insurance, risk management and/or claims management experience (a plus, but not a requirement)
  • intellectual property, particularly trademark, experience (a plus, but not a requirement)

Reporting Relationship

The successful candidate will report to Avison Young’s Chief Legal Officer, be directly supervised by the Legal Director of Avison Young’s UK operations and work collaboratively with Avison Young’s other lawyers and the business leaders of Avison Young’s UK business.

Primary Work Location

The lawyer will most likely be based in Avison Young’s London office, however, depending upon the successful candidate, the lawyer’s primary work location could be another Avison Young office in England.
